- Creating shared value : the relationship between business and developmentPublication . Larsen, Marianne Heier; Pinheiro, Susana Frazão Ferreira FernandesThe purpose of this study is to better understand the relationship between business and development by looking particularly at the textile and garment industry in Bangladesh. Previous research shows that Corporate Social Responsibility (CSR), or what today is better known as creating shared value, is often seen as a bridge connecting the arenas of business and development. This report raises and seeks to answer questions centered on the idea of ‘Decent Work’ as propounded by the International Labour Organization (ILO). What is the quality of life of workers in factories in Bangladesh who produce clothing’s that are exported to Europe? Can we call the conditions of employment of these workers as what ILO terms ‘Decent Work’? An exploratory research design is used to understand the different aspects of the research question. Data collection is performed through secondary data, and the research is divided into a quantitative and qualitative part. A statistical database is used to try to understand ILOs indicators of ‘Decent Work’ from the perspective of the local textile and garment worker in Bangladesh. Furthermore, five companies’ sustainability approach has been analyzed, all outsourcing their manufacturing to Bangladesh. The findings indicate that there are areas for improvement. Through relocation of supply chains, employment opportunities in Bangladesh are being created. However, many of the workers are working inhumane hours with payments below the minimum wage limit. And even though companies implement rules and routines in their Codes of Conduct to generate safe work conditions, accidents continue to happen.
Apresentar e promover esses cuidados é a tarefa maior deste trabalho.

- Case study : when ancient industrial plants meet (with) a modern business idea : "La Filanda" project : managerial decision making role and entrepreneurshipPublication . Calsamiglia, Eugenio; Pinheiro, Susana Frazão Ferreira FernandesIn the 21st century, many projects were created involving ancient industrial plants. These plants were often 'reborn' into a new life, thanks to strong trends to rediscover the past, a desire to avoid dismantlement or abandonment and government action. In this dissertation, we study how an ancient plant can be reused and transformed with a new business idea being developed inside the complex. The objective of this paper is to develop the business idea in its complexity and to analyse the feasibility and eventual future profitability of the enterprise. The project is presented in the form of a case study, in which several options are introduced to the reader to be evaluated by their weaknesses and strengths. Each option is then weighted against each other option in order to stimulate the student and entrepreneur decisions, informed by the available data. The conclusion shows that there is a possibility of profitability for the firm. The initial investment, however, requires a significant amount of funding. Therefore, careful planning is suggested.
- Merger and acquisitions : airline industry : case between American Airlines and U.S. AirwaysPublication . Correia, Maria Luísa Freitas; Assunção, António Luís Traça Borges deNot that many inventions are considered to be so life changing as the airplane invention. The airline industry is by far one of the most competitive industries with the highest growth expectations in the world. Nowadays, the sector of air transportation is radically different from what it was prior to 1978. As a consequence, the sector witnessed a massive restructuring with a significant increase in M&A activity. For this reason, the merger between American Airlines and U.S. Airways – two U.S. companies, will be the focus of this dissertation. Taking into account the industry and firm’s conditions and potential, the estimated synergies were valued at $984 million for the first relevant year - 2013, including revenue growth and cost savings. The overall synergies will yield a final equity value of $27.897 million that represents an increase of approximately 71,2%, when compared with the sum of the standalone equity values of both companies. This deal is suggested to be an all-stock deal that leads to the issue of 236 million shares to U.S. Airways shareholders and, as a result, American Airlines stakeholders will own 65% of the new company and the remaining 35% will be owned by U.S. Airways shareholders.
- Exploring open innovation : an analysis of the influence of esternal search strategy on innovation performance and its effect on employee loyalty in the German automotive industryPublication . Högler, Robert; Costa, Cláudia Isabel de SousaExternal knowledge sources are nowadays commonly accepted to be an important element for firm’s innovative performance. Therefore, this research helps to get new insights into the level of firm’s openness behavior referring to its search strategy and innovation performance. Beyond, it tries to find evidence for employee loyalty between high performing and other firms. In detail, the subject here is to explore open innovation by analyzing what dimensions of firm’s external search channels are affecting innovation outcomes and whether higher innovation performance could be related to employee loyalty and satisfaction in the R&D department of the German automotive industry. In this study three dimensions of external search strategies that affect firm’s innovation performance are investigated. The two concepts of external search breadth and depth that both look into the subject of “how” firm’s access external knowledge are introduced. The third concept shows the relevance of interacting with a wide range of external sources during the innovation process emphasizing “with whom to interact with" (Arruda et al., 2013). Quantitative research within a mail survey was used for data collection purposes. Based on the survey, I found that searching intense and deeply present a curvilinear relation (taking an inverted U-‐curve) between the search strategy and firm’s innovation performance, and discovered the presence of a point of “over-‐search”. Regarding external search breadth this study indicates that the diversity of different external partners possesses a positive effect on innovation performance of German automotive firms. Next, I found that the level of openness within the innovation process is an important dimension as well. Therefore, this thesis provides evidence that firm’s innovation performance depends on different external actors. In particular, customers, other companies in the holding and suppliers possess a significant impact. Finally, the results indicate that open innovation positively affects innovation performance among German automotive firms and that high-‐innovators tend to have more satisfied and consequently loyal R&D employees than other firms.
- Creating virtual capacity : the case of Hospital Vila Franca de XiraPublication . Jordão, Rita de Oliveira; Oliveira, Pedro Manuel Sousa MendesThe global economic problem defined by the scarcity of resources, also influences the Healthcare sector. People are living longer and making a heavier use of healthcare. Due to the financial crisis, budgets are becoming tighter and the task of managing hospitals is more and more demanding. Also, according to a recent study from McKinsey, improved management practices are associated with better clinical outcomes. The need for efficiency led the Portuguese government to attract private financing as a way of quickly renewing the national hospital network, and in 2011, the management of HVFX was handed over to JMS, for 10 years. The hospital activity has been growing in all fields, and during 2013, the first year of performing activity in a new building, overcapacity problems were experienced. The assumption of insufficient capacity is based on the premise that beds, which are currently in the system, are being used at maximum efficiency. The analysis of unnecessary days of hospitalization, days patients stay at the hospital without the need of acute care, led us to conclude that there is space for a more efficient management. Of the 89.221 inpatients days registered in 2013, 5.6% (5.036) are considered as possibly avoidable. At least 14 beds were permanently occupied unnecessarily during the year. On average, LOS reduces 0.4 days per month and if there had not been inappropriate days of hospitalization, the accumulated value for the year of 2013, 6.8 days, would turn into 6.4 days. Virtually increasing the hospital’s capacity demands the cooperation of all staff, mainly improving communication. This way, the hospital will be able to improve accessibility to care, treat more patients and, as consequence, generate additional revenue since it will increase patient volume in a profitable way.
- Proposed acquisition of Lindt by NestléPublication . Wilscher, Matthias; Assunção, António Borges deThe aim of this paper is to propose an acquisition of Chocoladefabriken Lindt & Sprüngli AG (Lindt) by Nestlé SA (Nestlé). Nestlé is a multinational conglomerate operating in the food and beverage industry. The brands of the firm are known worldwide. To enhance its confectionery business a deal with Lindt is proposed hereafter. An acquisition of Lindt makes strategically as well as operationally sense. Both firms operate in the chocolate business. Lindt is known to be a premium seller while Nestlé serves the mass market. Therefore, a combined firm could create substantial synergies and improve its market share. Lindt was valued to be worth 16.5bn (or 75.676 per share)1 with several valuation methods. As of the 12th May 2015 the firm traded at 58.80 which indicates a relatively high price. This paper suggests an acquisition price of 75.676 per share for 100% of the shares which represents a premium to the current market price of 28.7%. The acquisition should be financed with 39.2% of cash and 60.8% of debt. This is expected to lead to an increase of EPS and thereby increase the value of the shareholders.
