Abstract(s)
O presente estudo concentra-se na análise teórica do dever de lealdade e da violação do mesmo quando o administrador aproveita, para si ou para terceiros, uma oportunidade de negócio societária e, consequentemente, faz com que se verifique a figura do desvio da oportunidade de negócio. Partindo de uma análise das soluções inglesa, norte-americana e espanhola, que reconhecem esta figura, e com o conteúdo que deriva do direito comparado, este estudo culminará na análise adotada pela doutrina jurídica portuguesa da obrigação de não apropriação de oportunidades de negócio societárias, esclarecendo, assim, quando se verificam situações de possível destituição ou até responsabilidade civil do administrador.
This study starts from a theoretical analysis of the duty of loyalty, of the violation of the same one when the director takes advantage of an opportunity of corporate business and consequently, in taking advantage of it for itself or for third, it results in a figure known as corporate opportunity doctrine. Starting from an analysis of the English, American and Spanish solutions that specifically recognize this figure and with the content derived from comparative law, it will culminate in the analysis adopted by the Portuguese legal doctrine of the obligation of non-appropriation of corporate business opportunities, when there are situations of possible dismissal or civil liability of the director.
