Foi desta forma e fruto de uma alteração absolutamente estrutural no seio societário, por força do foco quase exclusivo do governo das sociedades na proteção das sociedades (e dos próprios acionistas), permitido o exercício do direito de voto fora da assembleia. Hoje, é possível afirmar que a assembleia geral tradicional poderá não constituir um meio, por si só, suficientemente eficaz e capaz de exercer as funções a que está comprometida. É sobre esta modalidade ou forma de voto que versaremos ao longo da dissertação, fazendo referência a alguns estudos realizados neste sentido, cuja análise nos irá elucidar quanto ao seu regime jurídico.In the last 30 years there has been a change in the capital market, strongly marked by its clear outbreaks of corporate governance, an important group of mechanisms and conduct rules on which the ways of controlling of both companies and societies management are established in Portugal. So, by cause of a structural alteration in society, due to an exclusive governmental focus on the protection of shareholder societies (and the shareholders), the right to vote outside the assembly was allowed. Nowadays, we can state the fact that the traditional general assembly is not sufficiently effective and capable of fulfilling its duties.
